Terms of Service

These Terms and Conditions (“Terms”, “Terms and Conditions”) govern your relationship with the MiningMatch website and web application (the “Service”) operated by Dataminex Web Services Inc. (“us”, “we”, or “our”). Please read these Terms and Conditions carefully before using the Service.
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service. By accessing or using the Service, you agree to be bound by these Terms and accept all legal consequences. If you do not agree to these Terms, in whole or in part, please do not use the Service.
These Terms comply with applicable Ontario and Canadian laws, including the Consumer Protection Act, 2002 (Ontario), the Personal Information Protection and Electronic Documents Act (PIPEDA), and other relevant regulations as of the effective date. We have incorporated provisions for transparency, fair dealing, and consumer rights, avoiding prohibited clauses that could allow contract rescission under Ontario law.
Purchases
If you wish to purchase any product or service made available through the Service (“Purchase”), you may be asked to supply certain information relevant to your Purchase, including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information.
You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and (ii) the information you supply to us is true, correct, and complete.
By submitting such information, you grant us the right to provide the information to third parties for purposes of facilitating the completion of Purchases.
We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, errors in your order, or other reasons.
We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected. We will not be held responsible or liable for any failure for the Purchase to complete, or any resulting loss or damages to you.
Under Ontario consumer protection laws, you may have rights to cancel certain purchases within specified periods. Please refer to our cancellation policy for details.
Availability, Errors and Inaccuracies
We strive to provide accurate and up-to-date information on the Service. However, we cannot guarantee the accuracy or completeness of any information, including prices, product images, specifications, availability, and services. We reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice.
Products or services on our Service may have errors in pricing, description, or availability. We may experience delays in updating information on the Service or in our advertising on other websites.
Content
Our Service allows you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material (“Content”). You are responsible for the Content that you post to the Service, including its legality, reliability, and appropriateness.
By posting Content to the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service for the purpose of operating and improving the Service. You retain all of your rights to any Content you submit, post, or display, and you are responsible for protecting those rights.
You represent and warrant that: (i) the Content is yours (you own it) or you have the right to use it and grant us the rights and license as provided in these Terms; and (ii) the posting of your Content does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person.
We reserve the right to block or remove Content that we determine to be: (a) abusive, defamatory, or obscene; (b) fraudulent, deceptive, or misleading; (c) in violation of a copyright, trademark, or other intellectual property right; or (d) offensive or otherwise unacceptable to us in our sole discretion.
You acknowledge that we act as a passive conduit for user-generated Content and undertake no obligation or liability relating to any Content or activities on the Service.
AI Technology and Disclosures
The Service incorporates artificial intelligence (“AI”) technologies, including third-party APIs such as the xAI API, to enhance features like networking recommendations, content generation, and data analysis. By using the Service, you acknowledge and consent to the use of AI in processing your data and generating outputs.
AI-generated content or recommendations are provided “as is” and may contain inaccuracies, biases, or errors due to limitations in training data, algorithms, or user inputs. We do not guarantee the accuracy, completeness, reliability, or suitability of any AI outputs. You are solely responsible for verifying and using AI-generated content at your own risk.
We disclaim all liability for any claims arising from AI usage, including but not limited to errors, hallucinations, intellectual property infringement in outputs, or biases. Outputs from AI may not be free from third-party rights infringements, and you agree to indemnify us against any such claims resulting from your use of AI-generated content.
Data you provide may be shared with third-party AI providers (e.g., xAI) for processing, subject to their terms and privacy policies. We implement reasonable safeguards, but third-party providers' practices are beyond our control. You consent to this data sharing and agree we are not liable for third-party actions.
In compliance with emerging best practices and potential future regulations (e.g., under discussions for AI governance in Canada), we commit to transparent AI use. If your use involves high-impact decisions (e.g., professional networking affecting employment), consult independent advice.
Prohibited AI uses include: (i) violating laws or these Terms; (ii) generating harmful, discriminatory, or illegal content; or (iii) attempting to reverse-engineer or misuse AI features. Violations may result in account suspension.
Accounts
When you create an account with us, you must provide accurate, complete, and current information at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.
You are responsible for safeguarding your password and for any activities under your account, whether with our Service or a third-party service.
You agree not to disclose your password to any third party and to notify us immediately of any breach of security or unauthorized use.
You may not use as a username the name of another person or entity not lawfully available for use, a name or trademark subject to others' rights without authorization, or an offensive, vulgar, or obscene name.
Intellectual Property
The Service and its original content (excluding user Content), features, and functionality are owned by Dataminex Web Services Inc. and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may display, copy, download, or print portions of the material for your own non-commercial use or to place an order with us. Any other use is prohibited without our prior written consent.
AI-generated outputs are owned by you, but we retain rights to underlying models and improvements derived from aggregated, anonymized usage data. You acknowledge potential third-party IP risks in AI outputs and agree not to hold us liable.
You agree not to use, change, or delete any proprietary notices from materials on the Service.
Links To Other Web Sites
The Service may contain links to third-party websites or services not owned or controlled by us.
We have no control over and assume no responsibility for the content, privacy policies, or practices of third-party sites or services. You acknowledge we shall not be liable for any damage or loss caused by or in connection with use of or reliance on such content, goods, or services.
We advise you to read the terms and privacy policies of any third-party sites you visit.
Termination
We may terminate or suspend your access or account immediately, without prior notice or liability, for any reason, including breach of these Terms.
All provisions that by their nature should survive termination shall do so, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
If you wish to terminate your account, discontinue using the Service.
Indemnification
You agree to indemnify, defend, and hold harmless Dataminex Web Services Inc., its principals, officers, directors, representatives, employees, contractors, licensors, licensees, suppliers, and agents from and against all claims, losses, damages, obligations, costs, actions, or demands.
These include but are not limited to: (a) legal and accounting fees from your use of the Service; (b) your breach of these Terms; (c) anything you post or upload; (d) any activity related to your account, including negligent or illegal conduct; and (e) any claims arising from AI-generated content or misuse of AI features.
Limitation Of Liability
To the fullest extent permitted by law, Dataminex Web Services Inc., its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from: (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party; (iii) any content obtained from the Service; (iv) unauthorized access, use, or alteration of your transmissions or content; or (v) any AI-generated outputs, errors, or biases.
This limitation applies whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been informed of the possibility of such damage.
In jurisdictions that do not allow exclusion of certain liabilities (e.g., under Ontario's Consumer Protection Act), our liability is limited to the greatest extent permitted by law.
Disclaimer And Non-Waiver of Rights
Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or course of performance.
We do not warrant that: (a) the Service will function uninterrupted, secure, or available; (b) errors or defects will be corrected; (c) the Service is free of viruses or harmful components; (d) results of using the Service will meet your requirements; or (e) AI features will be accurate, unbiased, or error-free.
If we choose not to act on a breach, we do not waive our rights. We are not responsible for breaches caused by circumstances beyond our control.
These Terms do not affect your statutory rights under applicable Canadian or Ontario laws.
Governing Law
These Terms shall be governed and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions.
If any provision is held invalid or unenforceable, the remaining provisions remain in effect. These Terms constitute the entire agreement between us regarding the Service, superseding prior agreements.
Changes
We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email or the Service. Continued use after changes constitutes acceptance.
